Transtema Group AB (publ) (“Transtema”) is delighted to announce that it has signed an agreement to acquire 100% of the shares of Tessta Connect AS and 100% of the shares of Tessta G-Trench AS in Norway (jointly referred to as “Tessta Connect”) at an initial purchase price of NOK 190 million plus a potential additional purchase price capped at NOK 210 million.

Tessta Connect is one of Norway’s leading telecoms network service and construction providers, with about 100 employees. The company has been in operation since 1988 and is headquartered in Oslo. Sales in 2021 came to NOK 413 million, with an operating margin (EBITA) of about 10%. The Tessta Connect management team will continue to run the company post-acquisition.

Transtema is one of Sweden’s leading providers of design, construction, operations and maintenance, as well as technical consulting services, for telecoms operators, urban networks, municipalities, power companies and other major companies. Transtema also provides network equipment, data storage services and products, as well as IoT solutions. Transtema was founded in 1997.

Transtema will after completion of the Tessta Connect acquisition have proforma sales in 2021 of about SEK 2,100 million, with an operating margin (EBITA) of 8.5%. Tessta Connect is expected to make a positive contribution to Transtema sales and to boost operating profits from the acquisition date. Stratema advised Transtema Group. The acquisition is expected to be completed in March 2022.
