The acquisition provides a strong launchpad for Procuritas’ further growth within indoor climate control and energy efficiency in Norway.

Founded in 1986, Procuritas stands tall as the pioneer of Nordic private equity firms. Having recently finalized its acquisition of Proptech Sweden, a company akin to Energima, Procuritas set its sights on fortifying its position in the industry. For Stratema, the imperative was to identify a Norwegian counterpart capable of proactive collaboration to propel the Nordic provider to new heights. Enter the Energima Group, a leading ventilation and energy efficiency provider in Norway with with revenues of approximately 1.8 billion NOK.

Stratema focused on finding a transaction structure that would ensure the continuation of the strong commitment of the many Energima Group shareholders and managers. The structure therefore facilitates shareholder and manager reinvestment in the business, enabling them to remain owners.

In 2003, the Magnussen brothers laid the foundations for what is now the Energima Group, by establishing Energima AS. Harnessing their experience from small and large ventilation industry businesses, their ambition was to take the best from both worlds to create something new and different.

The founders and management now take in Procuritas as a majority owner to continue on the group’s successful growth trajectory. “We have had an interesting and pleasant dialogue with Procuritas for some time and are convinced that they are the right partner for our further development. Through our new partnership, we gain access to their network and extensive experience within buy-and-build growth journeys”, comments Morten Hveding Juel, Energima’s group CEO.

Buildings account for 40% of total energy consumption in the Nordics. Procuritas, Energima and Proptech share a strong commitment to energy consumption efficiency, a key element in the quest to meet the EU CO2 emissions reduction targets.

The transaction is subject to approval by the Norwegian competition authority and is expected to be completed during the second quarter of 2024.
